Terms of sale
Last updated : 2026-09-26
These terms and conditions of sale (‘Terms of Sale’) govern the sale of subscriptions and paid services on the QanounIA platform, published by LEGAL COUNSELLORS OF AFRICA (LCOA). They supplement our terms of use (“Terms of Use”), which govern the use of the platform, and our privacy policy. Any subscription to a paid plan requires prior and unconditional acceptance of these Terms and Conditions of Sale.
1. Purpose and scope
These Terms of Sale define the conditions under which QanounIA offers its subscription plans and paid services (the ‘Subscription’) to those who subscribe to them (the ‘Client’). They apply to all orders placed on the platform, to the exclusion of any other document. In the event of a conflict, these Terms of Sale prevail over the Terms of Use solely for commercial matters (pricing, payment, billing, Subscription duration and termination).
2. Seller identity

3. Plans and packages
QanounIA is available as a free plan (with limited usage) and several paid plans, whose content, features and pricing are described on the page Pricing. Each paid plan is offered with billing monthly or annual, as chosen by the Client when subscribing. QanounIA reserves the right to change the composition of its plans; changes do not affect current Subscriptions before they expire.
4. Subscription and formation of the contract
Taking out a Subscription requires the creation of an account and the provision of accurate and up-to-date information. The ordering process includes choosing the plan and billing frequency, checking the summary, accepting these General Terms and Conditions of Sale, and then making payment. The sale is deemed concluded upon confirmation of the order by QanounIA, which constitutes acceptance. A summary is sent to the Client electronically.
5. Free trial
QanounIA may offer a free trial period (currently, fourteen (14) days), the conditions of which are specified when subscribing. Unless cancelled before it ends, the trial automatically continues as the corresponding paid Subscription, billed at the chosen frequency. In principle, only one trial period may be granted per Client.
6. Price
- Prices are stated in dirhams (DH) on the page Pricing, excluding any applicable taxes.
- The TVA applicable at the prevailing statutory rate is, where applicable, added and specified when subscribing and on the invoice.
- The applicable price is the price in force on the subscription or renewal date.
- QanounIA may change its prices; any change is communicated to the Client and applies only from the next billing period. A Client who does not accept the new price may terminate before it takes effect.
7. Payment terms
- Payment can be made notably by bank card, through a secure payment provider, or by bank transfer (topping up the account balance).
- QanounIA does not store card numbers : payment data is processed directly by the payment provider.
- Paid Subscriptions are payable in advance, upon subscription and then at each renewal.
- In the event of a payment default or issue, QanounIA may suspend access to paid features after notifying the Client, until payment is regularised.
8. Billing
An electronic invoice is issued for each due date and made available to the Client in their workspace. Invoices include the required legal particulars, in accordance, in particular, with Article 145 of the General Tax Code (CGI). The Client must ensure that their billing information is accurate.
9. Duration, renewal and termination
- The Subscription is entered into for the chosen term (monthly or annual) and automatically renewed for an identical term, unless terminated before expiry.
- The Client may cancel at any time from their account settings or by writing to contact@qanounia.com. Termination takes effect at the end of the period already paid for, which remains accessible until the end of its term, and prevents the next renewal.
- QanounIA may suspend or terminate the Subscription if the Client breaches these Terms and Conditions of Sale or the Terms of Use, under the conditions set out therein.
10. Right of withdrawal
In accordance with the Law No. 31-08 laying down consumer protection measures, the consumer Client (individual or student) has a withdrawal period of seven (7) days from the date of taking out a paid Subscription. However, this right may no longer be exercised once the provision of the service has begun with the Client's express consent (for example, use of the AI assistant or a paid feature), as the service consists of the supply of digital content and immediately accessible services. The right of withdrawal does not apply to professional Clients.
11. Refund
- Monthly subscriptions. They are not eligible for a pro-rata refund once the period has begun; cancellation simply prevents the next renewal.
- Annual subscriptions. Amounts paid are non-refundable for periods already started; the service remains accessible until the end of the paid period.
- Exception. In the event of a major malfunction attributable to QanounIA that is not resolved within a reasonable time, a full or partial refund may be granted on a case-by-case basis.
- Refund requests must be made in writing to contact@qanounia.com.
12. Service provision and availability
QanounIA uses reasonable efforts to ensure the availability and security of the service, without guaranteeing uninterrupted access. Maintenance operations or incidents may occasionally affect access, under the conditions described in the CGU.
13. AI assistant — information, not legal advice
Content generated by the AI assistant constitutes general legal information for guidance only and do not constitute personalised legal advice. They do not create any solicitor–client relationship. The Client remains solely responsible for their use of the content produced and is advised to consult a qualified professional for any important decision.
14. Personal data
The data required to manage the Subscription and billing is processed in accordance with our privacy policy, drawn up in compliance with Law No. 09-08.
15. Liability
To the extent permitted by law, QanounIA's liability under the Subscription is limited to the amounts actually paid by the Client over the last twelve (12) months. QanounIA shall not be liable for indirect losses or the consequences of decisions made solely on the basis of AI-generated content.
16. Force majeure
QanounIA shall not be held liable for any failure or delay in performance resulting from force majeure as defined by Moroccan law and the case law of Moroccan courts.
17. Complaints and dispute resolution
Any complaint relating to a Subscription may be sent to contact@qanounia.com. The parties shall endeavour to resolve any dispute amicably, where appropriate through mediation by agreement, before taking any legal action.
18. Changes to the terms and conditions of sale
QanounIA may amend these Terms and Conditions of Sale. The applicable Terms and Conditions of Sale are those in force on the date of subscription or renewal. The Client will be notified of any substantial amendment, which will apply to renewals after it takes effect.
19. Applicable law and jurisdiction
These Terms of Sale are governed by Moroccan law. Failing an amicable resolution, any dispute relating to their validity, interpretation or performance shall be submitted to the competent courts of Casablanca.
